WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT<BR>

Shareholders are referred to the cautionary announcement published on 22 May 2018, as<BR>
renewed on 3 July 2018 and 15 August 2018, in which the Company advised that it had<BR>
entered into negotiations regarding a potential acquisition, which if successfully concluded,<BR>
would, based on the indicative transaction value, qualify as a Category 2 transaction under<BR>
the JSE Listings Requirements.<BR>
<BR>
Following a detailed due diligence investigation of this opportunity and lengthy negotiations,<BR>
the parties were not able to agree on terms which would, in the view of the Company, be in<BR>
the long-term interest of PSG Konsult's various stakeholders.<BR>
<BR>
PSG Konsult's focus remains on organic growth, although it will consider acquisitions that<BR>
meet its investment criteria, which require, inter alia, acceptable pricing, a compelling strategic<BR>
rationale, clearly definable synergies and ease of integration.<BR>
<BR>
As PSG Konsult will not be proceeding with the acquisition, caution is, accordingly, no longer<BR>
required to be exercised by shareholders when dealing in their securities.<BR>
