    TO FACE ADVISORY INSURANCE BROKERAGE BUSINES OF ABSA INSURANCE AND<BR>
                FINANCIAL ADVISERS PROPRIETARY LIMITED ("AIFA")<BR>

As communicated on 12 February 2018, PSG Konsult, through its subsidiary PSG Wealth Financial<BR>
Planning Proprietary Limited, concluded an agreement to acquire the remaining short-term face-to-<BR>
face advisory insurance brokerage business from AIFA.<BR>
<BR>
PSG Konsult is pleased to announce that all conditions precedent to the transaction have been<BR>
fulfilled, and that the transaction will be effective 1 December 2018.<BR>
<BR>
This acquisition is strategically aligned to PSG Konsult's acquisition of AIFA's Commercial and<BR>
Industrial short-term insurance brokerage business, as announced on SENS on 28 May 2018. The<BR>
acquired business is made up of 62 advisers and over 28 000 clients. It will seamlessly integrate into<BR>
the PSG Konsult distribution network of PSG Insure advisers, enhancing PSG Insure's footprint across<BR>
South Africa.<BR>

The acquisition falls below the threshold that requires disclosure in terms of the JSE Listings<BR>
Requirements. However, the PSG Konsult board deemed it appropriate to update shareholders on the<BR>
outcome of the acquisition, in the interests of full transparency.<BR>
